Chapter Bylaws

 

Section I Name and Sponsorship

The group of students making up this organization shall be officially known as the University of Wisconsin Oshkosh Student Chapter of the Winnebagoland Chapter of the Institute of Management Accountants (Hereinafter referred to as "UWOSC").

  1. The UWOSC is officially sponsored by the Winnebagoland Chapter of the Institute of Management Accountants, which has been a chartered chapter of the Institute since 1947.
  1. The UWOSC is a recognized student organization at the University of Wisconsin Oshkosh.
  1. The UWOSC shall recognize Schneider National Incorporated as the major financial sponsor of the organization’s effort to attain an official charter.
  2. Appropriate recognition of sponsorship, whether verbal or written, shall be done solely at the discretion of the Advisory Committee (as established in Section III), and shall not be dictated by current or future sponsors, regardless of the manner, amount, or type of sponsorship provided.

Section II Constitution

Any bylaw, or future amendment to the bylaws, shall be consistent with the Constitution governing the Winnebagoland Chapter of the IMA.

  1. In any and all instances in which a conflict arises between the Constitution and any bylaw or future amendment to the bylaws, the Constitution shall supersede the bylaw in question.
  2. If at any time a member of the UWOSC believes a new or existing bylaw to be in conflict with the best interest of the organization, he or she may petition to have the said bylaw amended or stricken by following the procedure enumerated in Section VIII of the bylaws.

Section III Advisory Committee

The Advisory Committee, consisting of the current UWOSC President, UWOSC Advisor, and having representation from the Winnebagoland Board of Directors, shall be responsible for providing counsel to the organization. Counsel shall include, but not be limited to the following:

  1. Keeping the organization abreast of any changes in reporting guidelines.
  2. Making sure all members are aware of regional and national conferences.
  3. Notification of changes in IMA policy that may be of interest to the students.
  4. Making decisions regarding sponsorship and recognition.
  5. Taking any appropriate action that is in the best interest of the organization in situations where the majority of the UWOSC elected officers cannot be contacted in a timely manner. However, the action taken must be endorsed by a minimum of two out of the three above parties on the Advisory Committee.

1) Any action taken by the Advisory Committee can subsequently be overturned or otherwise nullified by a two-thirds majority vote by all currently elected officers of the UWOSC.

Section IV Objectives of the Student Chapter
The Objectives of the UWOSC shall be as follows:

  1. To further the purpose and objectives of the Institute of Management Accountants and its members.
  2. To promote and facilitate cooperation and communication between student members and regular members, particularly those of the Winnebagoland Chapter.
  3. To conduct, sponsor, and participate in such activities as it deems necessary or desirable in accomplishing the foregoing purposes of the organization.
  4. To sustain its membership annually by organizing and conducting an annual campaign for the acquisition of new members as well as the renewal of student memberships by undergraduates.
  5. To provide ample opportunity for members to develop leadership skills by participating in the planning and execution of its activities.
  6. To organize a continuing effort to encourage graduating IMA student members to exercise their option of becoming associate members of the Winnebagoland Chapter of the IMA. Thereafter upon moving or relocating they may transfer to chapters in their area.
  7. No part of this student chapter shall consist of carrying on propaganda or otherwise attempting to influence legislation, or of participating in or intervening in any political campaign on behalf of any candidate for public office.

Section V Membership

The membership of the UWOSC shall consist of any business student at the University of Wisconsin Oshkosh who wishes to become a member, and pledges to take part in chapter activities that help to accomplish the objectives of the organization.

  1. Students from other institutions of higher learning shall be admitted into the UWOSC by a 50% majority of the elected officers.
  1. Such members shall have all rights of a student member, except they shall not be able to run for or hold any elected position.
  1. All members, regardless of what institution they attend, must maintain at least part time status as determined by that particular school’s course policies.
  2. All students shall be required to be an IMA student member of the Winnebagoland Chapter, and shall attend two Winnebagoland Chapter meetings each academic year in order to remain in good standing.
  1. Students not remaining in good standing at the end of an academic year will be put on probation for the next academic year, and will have their future level of involvement closely scrutinized by an appointed member of the UWOSC Board of Directors (as established in Section VI).

Section VI Officers

The Officers of the Student Chapter shall make up the Board of Directors for the organization which is the designated schedule and rule making body for the organization.

Election Rules

A. The officers shall be elected by popular vote of the UWOSC members in good standing.

1) Elected offices should include, but are not limited to:

    1. President
    2. Secretary
    3. Treasurer
  1. Upon election as an officer of the UWOSC, every officer must apply to be an official IMA student member if he or she has not already done so.
  2. The President of the Winnebagoland Chapter of the IMA shall appoint one of the elected student officers to serve as the IMA Student Chapter Coordinator.
  1. The term of this office shall be one year, from June 1 through May 31.
  2. The appointed officer shall serve as a member of the UWOSC Board of Directors as well as sitting on the Winnebagoland Chapter Board of Directors for the entire term.
  1. Any UWOSC member may request the removal of an officer, and allow the Advisory Committee to appoint an interim officer in their place provided he or she does the following:
  1. Obtain 50% of the signatures of current UWOSC members in good standing on a petition to remove the said person from office, and
  2. Obtain a two-thirds majority of all elected officers in favor of removal
    1. The officer in question is allowed to vote on his or her behalf.
    2. One petition can be used to request the removal of no more than one officer.
    3. The petition cannot include requests for anything other than the removal of the stated officer.
    4. The most current list of all UWOSC members shall be provided in its entirety (meant to include a full name and phone number, but not an address) to any member wishing to view it.
    5. If the officer being removed is the President, he or she shall not have any say in the Advisory Committee’s interim appointment decision.

E. Any officer will be automatically removed from office and replaced by an interim appointment made by the Advisory Committee if the officer fails to enroll at least part time before the first day of classes at his or her respective educational institution.

  1. An appeal for reinstatement can be made to the UWOSC Board of Directors by the removed officer if he or she can prove they have achieved proper enrollment status.
    1. A two-thirds majority vote by the Board is necessary for reinstatement.
    2. The officer in question may vote on his or her behalf.

Duties

  1. The Board of Directors should meet one time each month at a minimum, summer months excluded.
  1. The board of directors shall be responsible for the management of the UWOSC, including planning, coordinating, and conducting its operations and activities, reviewing and taking action on recommendations submitted, and any other business pertaining to the UWOSC.

Section VII Finances

The financial affairs of the UWOSC shall be conducted by its Board of Directors in a manner agreed upon by the Board in consultation with the Advisory Committee.

  1. Funds for the treasury may be enhanced by contributions from the sponsoring chapter board, Winnebagoland Chapter members or their companies, or by money-raising activities approved by the UWOSC Board of Directors.

Section VIII Amendments to the bylaws

If at any time in the future the need arises, an amendment to the bylaws can be accomplished as follows:

  1. Any UWOSC member can present the UWOSC Board of Directors with the proposed amendment.
  2. The Board can initially approve the amendment through a two-thirds majority.
  3. Upon approval, the amendment shall be voted on by all UWOSC members in good standing at the next official meeting in which a quorum (50% or more of the members in good standing) is achieved.
  1. A special meeting may be called to vote on an amendment if every member is notified at least 10 business days in advance of the meeting.
  2. A vote of greater than two thirds of the members in attendance in favor constitutes acceptance of the proposal as an official bylaw.
  1. In the case that a two-thirds majority is not achieved when the amendment is proposed to the UWOSC +Board, the member proposing the change can directly petition the UWOSC members in good standing.
  1. A 75% majority of all student members’ signatures is required on a petition stating that they are in favor of the amendment.
  2. At this point the amendment shall revert to the rules enumerated in Section VIII C. for final debate and approval.
  1. Amendments to the bylaws that become official should be signed and dated by the President, and added to the bottom of the original bylaws.

Section IX Revocation of Charter

The charter of the UWOSC may be revoked at any time by the Board of Directors of the Winnebagoland Chapter, or by the Regional Council of the Institute of Management Accountants, provided the officers of the UWOSC are given notice of such proposed action 30 days in advance of the meeting of the Winnebagoland Chapter Board at which the matter is to be considered. The Student Chapter may be represented at this meeting by as many UWOSC members as wish to attend.

On this ____ day of ____________, ______, we, the undersigned Charter Members of the University of Wisconsin Oshkosh Chapter of the Winnebagoland Chapter of the Institute of Management Accountants do hereby promise to adhere to the policies set forth in the above bylaws.
